Agreement to Terms
These Terms of Service ("Terms") govern your use of the Flowtion website (flowtion.ai) and engagement with Flowtion, a trading name of ARCION VENTURES PTY LTD (ABN 65 684 967 388) ("Flowtion", "we", "us", "our") for consulting services. By accessing our website or engaging our services, you agree to these Terms.
Our Services
Flowtion provides AI transformation consulting services to established Australian businesses, including:
- AI Readiness Audits
- Custom AI solution design and implementation
- Ongoing AI partnership and support
Specific deliverables, timelines, and fees are outlined in individual engagement agreements ("Statements of Work") which form part of these Terms.
Engagement Process
- Free Call: Initial consultation to understand your needs (no charge)
- Proposal: Written scope, timeline, and investment provided for approval
- Statement of Work: Detailed agreement signed before work commences
- Delivery: Work delivered according to agreed milestones
No work begins until a Statement of Work is signed by both parties.
Fees and Payment
- Fees are outlined in your Statement of Work
- Invoices are issued according to agreed milestones
- Payment is due within 14 days of invoice unless otherwise agreed
- All fees are quoted in Australian Dollars (AUD) and exclude GST unless stated
- Late payments may incur interest at 2% per month
Intellectual Property
Your IP
You retain ownership of all materials, data, and proprietary information you provide to us.
Our IP
Flowtion retains ownership of our methodologies, frameworks, tools, and any pre-existing intellectual property.
Deliverables
Unless otherwise agreed in your Statement of Work, upon full payment you receive ownership of custom deliverables created specifically for your engagement. General tools, templates, and methodologies remain Flowtion's property.
Confidentiality
Both parties agree to keep confidential information private and not disclose it to third parties without consent.
Your Responsibilities
You agree to:
- Provide accurate and complete information
- Grant reasonable access to systems, data, and personnel as needed
- Respond to requests for information in a timely manner
- Designate a primary contact for communications
- Make decisions and provide approvals within agreed timeframes
Delays caused by failure to meet these responsibilities may impact timelines and may incur additional fees.
Limitation of Liability
To the maximum extent permitted by law:
- Flowtion's total liability is limited to the fees paid for the specific service giving rise to the claim
- We are not liable for indirect, incidental, or consequential damages including lost profits, data loss, or business interruption
- We do not guarantee specific business outcomes or ROI
Our services involve recommendations and implementations based on our professional expertise, but ultimate business decisions and their outcomes remain your responsibility.
Warranties and Disclaimers
We warrant that:
- Services will be performed with reasonable care and skill
- Our team has the expertise to deliver the services described
We do not warrant that:
- AI tools or systems will be error-free or uninterrupted
- Specific business results will be achieved
- Third-party tools or services will perform as expected
The website and its content are provided "as is" without warranties of any kind.
Termination
By you
You may terminate an engagement with 14 days written notice. Fees for work completed and committed expenses remain payable.
By us
We may terminate if you breach these Terms or a Statement of Work, with written notice and opportunity to remedy where reasonable.
Effect
Upon termination, you receive deliverables for work completed and paid. Both parties return or destroy confidential information.
Dispute Resolution
If a dispute arises:
- Both parties will attempt to resolve it through good faith negotiation
- If unresolved within 30 days, parties agree to mediation in Brisbane, Queensland
- If mediation fails, disputes will be resolved under the laws of Queensland, Australia
Website Use
You agree not to:
- Use our website for unlawful purposes
- Attempt to gain unauthorised access to our systems
- Interfere with the website's functionality
- Scrape, copy, or reproduce content without permission
We reserve the right to restrict access to our website at our discretion.
Changes to Terms
We may update these Terms from time to time. Changes will be posted on this page. For active engagements, material changes will be communicated directly. Continued use of our website or services constitutes acceptance of updated Terms.
Governing Law
These Terms are governed by the laws of Queensland, Australia. You submit to the exclusive jurisdiction of the courts of Queensland.
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full effect.
